Terms of Service

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MUST REVIEW THIS DOCUMENT IN ITS ENTIRETY, INCLUDING THE DISPUTE RESOLUTION SECTION BELOW, BEFORE USING THE PLATFORM.

THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE PLATFORM AND SERVICES. PLEASE READ THESE TERMS OF SERVICE CAREFULLY. CAPITALIZED TERMS HAVE THE DEFINITIONS SET FORTH HEREIN. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT OR ACCESSING OR USING ANY OF THE PLATFORM AND/OR SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH MAXHUB.AI & MAXMARKETINGFIRM,LLC , (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE PLATFORM/SERVICES IS TRUE, ACCURATE AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF SERVICE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT BUSINESS ENTITY TO THE AGREEMENT. CERTAIN PORTIONS OF THE PLATFORM MAY BE SUBJECT TO “OPEN SOURCE” OR “FREE SOFTWARE LICENSES”. SUCH COMPONENTS WILL BE GOVERNED BY THE TERMS OF THEIR RESPECTIVE TERMS OF USE AND NOT BY THESE TERMS.

ONCE ACCEPTED, THESE TERMS OF SERVICE, IN COMBINATION WITH OUR PRIVACY POLICY (WHEREVER APPLICABLE) (COLLECTIVELY THE “TERMS”), BECOME A BINDING LEGAL COMMITMENT BETWEEN YOU (OR THE BUSINESS ENTITY THAT YOU REPRESENT) AND MAXHUB.AI & MAXMARKETINGFIRM.LLC . AND ITS RESPECTIVE OFFICERS, DIRECTORS, BUSINESS AFFILIATES, SUCCESSORS AND ASSIGNS (HEREINAFTER REFERRED TO AS “MAXHUB.AI,” “WE” OR “US”) AND WILL GOVERN YOUR ACCESS TO AND USE OF THE PLATFORM AND ALL OTHER INTERACTIONS WITH MAXHUB.AI RELATED TO THE PLATFORM.

MaxHub.AI reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance and agreement to the updated Terms.

MaxHub.AI is only providing the Platform for your business use without any promise of exclusivity. MaxHub.AI’s customers, users, entrepreneurs, affiliate marketers, experts, and partners are not MaxHub.AI’s employees, contractors, or representatives. MaxHub.AI is not responsible for any interactions between you and your customers, other than providing access to the Platform. MaxHub.AI is in no way liable for any disputes, claims, losses, injuries, or damages arising from your relationship with your customers, including their reliance upon any information or content you provide. You agree and acknowledge that you are responsible for implementing your own terms of service to govern the relationship between you and your customers.

You should consult a lawyer for legal advice to ensure your use of the Platform complies with these Terms and applicable law.

1.Use of Platform

1.1 Restrictions

You must be at least 18 years old to use the Platform. By accepting these Terms, creating an account, or using the Platform, you confirm you are at least 18. Employees, partners, or directors of competitors cannot use the Platform to compete with it.

1.2 Account Ownership

You must provide accurate and current information when registering for an account. The Platform is for business or professional use. The account owner is either the individual accepting these Terms or the business entity if acting on its behalf. By accepting on behalf of a business, you confirm authority to bind it to these Terms. If ownership is disputed, MaxHub.AI may suspend or terminate the account until resolved through mutual agreement or court order.

1.3 Intended Use

You and your customers may use the Platform only for lawful purposes and in compliance with these Terms. You agree to:

Maintain necessary licenses, permissions, and consents. Be responsible for your actions and those of employees, agents, and customers. Ensure customers accept terms as restrictive as these. Own or control all content provided to MaxHub.AI with law enforcement or regulatory requests. Not allow competitors access or reverse engineer the Platform. Not modify or create derivative works or remove proprietary labels.

1.4 Compliance

You are solely responsible for: Data quality and integrity on the Platform. Maintaining required insurance. Complying with all applicable laws, including HIPAA and data privacy laws. MaxHub.AI is not liable for ensuring your compliance or guaranteeing the Platform's compliance with laws like HIPAA or PCI.

1.5 Privacy

By using the Platform, you consent to MaxHub.Ai's use of your information per its Privacy Policy. MaxHub.Ai is not liable for content deletion or storage failure. You must:

Enforce your terms of service and privacy policy with customers, matching or exceeding MaxHub.Ai's standards. Obtain customer consent for sharing data with MaxHub.AI under these Terms and the Privacy Policy.

1.6 Login Credentials

You are responsible for keeping your login credentials confidential and for all activity under your account, authorized or not. Notify MaxHub.AI immediately of unauthorized access or breaches. MaxHub.AI may disable your credentials at its discretion, especially if you violate these Terms. Accounts are non-transferable, and you must prevent unauthorized access. You consent to MaxHub.Ai monitoring accounts for support, security, or enforcement purposes.

1.7 Communication Services

The Platform offers communication features like SMS, MMS, email, and voice calls, which may incur additional charges. You are solely responsible for all communications sent using the Platform and ensuring compliance with laws like the TCPA, Do Not Call Registry Rules, and CAN-SPAM Act. MaxHub.AI only provides the technology and does not originate or deliver messages. You control all messaging, timing, and compliance. Charges are subject to change.

1.8 Third-Party Services

You are responsible for enabling and managing Third-Party Service integrations through the Platform. By integrating these services, you allow MaxHub.Ai to share your data with the providers. You confirm you have the necessary consents to import data, including customer data, for these integrations. MaxHub.Ai disclaims liability for actions, omissions, or issues caused by Third-Party Services and does not guarantee their functionality, accuracy, or legality. Your use of such services is governed by their terms, and you assume all risks.

MaxHub.Ai may modify the Platform, which could affect Third-Party Service integrations. Pausing or deleting your account may result in permanent loss of features or services. If your account is paused for over 30 days and costs are incurred (e.g., maintaining a phone number), MaxHub.AI may release resources or delete your account without liability.

1.9 Third-Party Content

The Platform may include Third-Party Content, which you use at your own risk. Statements and opinions in Third-Party Content are solely those of the third party and do not reflect MaxHub.Ai's views. MaxHub.Ai disclaims all responsibility, liability, and endorsements related to Third-Party Content. Ensure your engagement complies with these Terms and applicable laws.

1.10 Excessive Use & Trials

MaxHub.Ai offers tiered pricing for data usage. Excessive or abusive data use may result in requiring a tier upgrade, usage limits, suspension, or termination. MaxHub.AI is not liable for performance issues caused by excessive data use.

Trial periods cannot be used consecutively to avoid fees. If detected, MaxHub.AI may suspend, terminate, or ban you from using the Platform.

1.11 Platform Updates

MaxHub.Ai may update or change the Platform at any time, including altering functionality. Your use or purchase is not contingent on future features, continued services, or third-party integrations.

1.12 International Use

You cannot use the Platform if you are in an embargoed country, are a sanctioned person/entity, or violate export control laws. MaxHub.Ai does not guarantee the Platform’s suitability outside the U.S.; accessing it internationally is your responsibility, including complying with local laws like taxation.

You must follow all economic sanctions and export control laws, including those from the U.S. Department of Commerce and Treasury. The Platform and related content cannot be exported, transferred, or accessed in embargoed countries (e.g., Cuba, Iran, North Korea, Syria, certain regions in Ukraine, Russia, Belarus) or by individuals/entities on restricted lists.

You represent that: You are not on any U.S. or international restricted List. You are not located in, registered in, or controlled by entities in prohibited jurisdictions. You will not allow prohibited users to access the Platform or Services. Your data complies with Export Control Laws. You will not use the Platform to export restricted data or content unlawfully. The Platform and Services may not be available in all regions. MaxHub.Ai reserves the right to terminate accounts found in violation of these restrictions without liability.

1.13 Artificial Intelligence Acceptable Use Policy

You are responsible for ensuring your jurisdiction permits AI usage before using AI features on the Platform. Use of AI features must comply with the Artificial Intelligence Acceptable Use Policy in Exhibit B.

1.14 Domain Names

If you purchase a domain name via the Platform, MaxHub.Ai will register it on your behalf as the listed registrant. You must use the domain in compliance with these Terms. Upon your written request, MaxHub.Ai will transfer the domain to you, subject to a transfer fee. You agree to indemnify MaxHub.Ai for claims arising from your domain usage, including breaches of these Terms or legal violations.

1.15 Certification Program

MaxHub.Ai offers a certification program to individual users and enterprise customers who complete certification exams, demonstrating Platform expertise. Certification badges: Are unique to the individual earning them and cannot be transferred or misrepresented. Do not signify MaxHub.Ai's endorsement, support, or affiliation with the certified individual. May result in listing your contact information on the MaxHub.Ai.

MaxHub.Ai is not responsible for any business outcomes related to certification. Misrepresentation of affiliation, improper use of the directory, or violation of program policies may result in termination of participation in the Certification Program.

1.16 E-commerce Products and Services

You are solely responsible for the products, services, and content sold through the Platform, including ensuring compliance with applicable laws, regulations, and policies. Specific obligations include: Managing product descriptions, pricing, taxes, legal disclosures, and promotional content. Providing clear public-facing contact information, refund policies, and order fulfillment timelines on your store. Handling all transactions, refunds, and customer service directly, as MaxHub.Ai is not the seller of record.

MaxHub.Ai does not guarantee pre-screening of your content but reserves the right to remove or refuse materials that violate the Code of Conduct or these Terms. MaxHub.Ai also disclaims responsibility for damages, lawsuits, or violations arising from your activities on the Platform. MaxHub.Ai may provide its services to competitors and does not promise exclusivity in the use of its Platform.

2. Code of Conduct

By using the Platform, you agree to adhere to the Code of Conduct outlined in Exhibit A. You represent and warrant compliance with these standards at all times.

MaxHub.Ai reserves the right to take any necessary actions, including terminating your Platform Account, if you violate this Agreement or the Code of Conduct. MaxHub.Ai may pursue additional remedies as permitted under this Agreement or applicable law.
